3. Products and Services

PrivateAIServers.com provides on-premises AI server solutions designed to operate within your organization's infrastructure. Our products include hardware, software, and support services as specified in your purchase agreement.

3.2 Installation and Implementation

Installation and implementation of our products may require access to your premises and network infrastructure. You agree to provide reasonable access and cooperation necessary for us to deliver, install, and support our products.

3.3 Maintenance and Support

Maintenance and support services are provided as specified in your service agreement. Standard support includes security updates, bug fixes, and technical assistance during normal business hours.

4. Intellectual Property Rights

4.1 Our Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by PrivateAIServers.com, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

4.2 License to Use

Subject to your compliance with these Terms, PrivateAIServers.com grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use our products and services as specified in your purchase agreement.

4.3 Restrictions

You may not:

• Modify, reverse engineer, decompile, or disassemble our software or hardware
• Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices
• Transfer, sublicense, lease, lend, rent, or otherwise distribute our products to third parties
• Use our products for any purpose other than your internal business operations

5. Payment Terms

5.1 Pricing

Prices for our products and services are as quoted in your purchase agreement. All prices are subject to change without notice, but changes will not affect orders for which we have already issued an invoice.

5.2 Payment

Payment terms are as specified in your purchase agreement. Unless otherwise agreed, payment is due within 30 days of invoice date. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less.

5.3 Taxes

Prices do not include taxes, duties, levies, tariffs, or other governmental charges. You are responsible for payment of all such charges applicable to your purchase and use of our products.

6. Warranty and Disclaimer

6.1 Limited Warranty

PrivateAIServers.com warrants that our products will substantially conform to the specifications set forth in the documentation for a period of one year from the date of delivery. This warranty does not apply to problems resulting from:

• Improper installation, use, or maintenance
• Modification or alteration of our products
• External causes such as accidents, abuse, or misuse
• Use of our products in a manner inconsistent with their intended purpose

6.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, OUR PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

IN NO EVENT WILL PrivateAIServers.com, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, OUR PRODUCTS OR SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

You agree to defend, indemnify, and hold harmless PrivateAIServers.com, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

These Terms shall remain in full force and effect while you use the Services. We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
